CONTRACT WITH INVESTOR
DIGITAL STARTUP INVESTMENT CONTRACT
This Digital Startup Investment Contract (the "Contract") is entered into on this [Date] (the "Effective Date") between:
1. MATTALNET GRUPP OÜ, a company registered in Estonia under Registration Code: 14744075, EORI: 14744075, VAT: EE102519059, and having its registered address at 10120 Tallinn, Tuukri 19-315, hereinafter referred to as the "Intermediary."
2. [Investor Name], an individual/entity, with a registered address at [Investor Address], hereinafter referred to as the "Investor."
Collectively referred to as the "Parties."
WHEREAS, the Startup is engaged in the business of [Brief Description of Startup Business];
WHEREAS, the Investor is interested in investing in the Startup to support its growth and development;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:
1. INVESTMENT
1.1. Investment Amount: The Investor shall invest [Amount in Currency] (the "Investment Amount") in the Startup in exchange for [Percentage] percent (%) equity ownership in the Startup.

2.2. By the Investor: The Investor represents and warrants that:
a. It has the financial capacity and authority to make the investment.
b. It has conducted due diligence on the Startup and is satisfied with the investment opportunity.
c. It understands the risks associated with investing in startups.
3. CLOSING
3.1. Closing Date: The closing of the investment (the "Closing") shall take place on or before [Closing Date] at a location agreed upon by the Parties.
3.2. Deliverables: At the Closing, the Startup shall deliver to the Investor the following:
a. Stock certificates or other evidence of ownership representing the Investor's equity in the Startup.
b. Any other documents required to effectuate the investment.
4. GOVERNING LAW
This Contract shall be governed by and construed in accordance with the laws of Estonia.
5. ENTIRE AGREEMENT
This Contract constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings.
